TushPlug Provider Terms and Conditions

Version: 1.2 Last updated: 10 October 2026 Effective date: [TO CONFIRM: effective date]

These terms are between you (the provider) and TushPlug. They do not cover the agreement between you and your clients.

---

1. About these terms and acceptance

1.1 TushPlug is a marketplace. We connect customers with independent providers ("studios") in Nigeria who offer bookable services. These include hair, beauty, grooming, nails, massage, wellness and any other service listed on the Platform. We are starting in Lagos and Abuja, then Benin, Port Harcourt and Warri.

1.2 TushPlug is operated by TUSHPLUG LIMITED, a company registered in Nigeria with CAC RC number 960693, whose registered address is 74, Iba Oloja, Ibeju-Lekki, Lagos State, Nigeria. In these terms, "TushPlug", "we", "us" and "our" mean that company.

1.3 "You" and "your" mean the person or business that opens and runs a studio on TushPlug. "Client" means a customer who books with you through TushPlug.

1.4 These terms apply to the web provider portal at www.tushplug.com and the TushPlug provider mobile app. Both use the same account. We call them "the Platform".

1.5 You accept these terms when you create a studio. To do this, you must tick the box "I have read and accept the TushPlug Provider Terms". You cannot create a studio without ticking it.

1.6 We record the date and time you accepted and the version of the terms you accepted.

1.7 If you act for a business, you confirm that you are allowed to accept these terms for that business.

1.8 You must be at least 18 years old to open a studio or use the Platform.

1.9 Our Privacy Policy also applies. You can read it at https://www.tushplug.com/privacy [TO CONFIRM: Privacy Policy URL path].

2. Your account and studio profile

2.1 You sign in with your email address and a one-time code we send you. Keep access to your email safe. Anything done through your account is your responsibility.

2.2 Anyone can open a studio. We do not check ID at signup. This means you must be honest about who you are.

2.3 Your studio profile must be accurate and up to date. This includes your business name, location, services, prices, opening hours and contact details.

2.4 Prices you list must be the real prices you charge.

2.5 Photos and videos must show your own real work, your own studio and your own staff. Do not use photos from other businesses, the internet or stock libraries to show work you did not do.

2.6 Keep your availability current. If you cannot take bookings at a time, block it out.

2.7 Ownership disputes. If a real business owner shows us CAC registration proof that a studio on TushPlug belongs to their business, we may: • transfer the studio to that owner; and • block the account that created the studio without the right to do so.

2.8 We may ask you for information to check a dispute about who owns a studio. If you do not respond, we may decide based on the information we have.

2.9 Some studios on the Platform are demo or sample studios. They cannot be booked.

3. Your obligations as a provider

You agree to:

3.1 Respond promptly. Accept or decline booking requests within [TO CONFIRM: response time, e.g. 24 hours]. Requests you do not answer in time may expire. [TO CONFIRM: whether instant booking is offered.]

3.2 Honour confirmed bookings. Once you confirm a booking, deliver it.

3.3 Be on time. Be ready at the booked time. For home-service bookings, arrive at the agreed time. If you are running late, tell the client as early as possible through the app.

3.4 Deliver what you listed. Provide the service as described, at the listed price, and for the listed duration.

3.5 Act professionally. Be honest, reliable and courteous.

3.6 Treat clients with respect. Every client deserves dignity, privacy and care.

3.7 Follow the law. This includes any licence, permit or registration your business needs.

3.8 Confirm completion. After you finish a booking, confirm in the Platform that it is completed. See section 7.

4. Prohibited conduct

You must not:

4.1 Discriminate against any client or staff member because of tribe or ethnicity, religion, gender, disability, age, marital status, place of origin, or any other trait protected by Nigerian law.

4.2 Harass, abuse, threaten or intimidate anyone, in person or online.

4.3 Fail to show up for a confirmed booking without telling the client and TushPlug in advance.

4.4 Charge more than your listed price, or add surprise charges. Any extra must be agreed with the client before you do the work.

4.5 Take clients off the Platform to avoid TushPlug fees. This includes asking clients met on TushPlug to book or pay you outside the Platform so that no TushPlug fee is paid. Taking cash for a booking made through the Platform, where your plan allows it (see section 7), is allowed. Our fee is still due on that booking.

4.6 Post fake reviews, review your own studio, ask friends to post false reviews, or pay or reward anyone for reviews.

4.7 Offer illegal or unsafe services, or use illegal, banned or unsafe products.

4.8 Pretend to be another business or person, or create a studio for a business you do not own or represent.

4.9 Misuse the Platform. For example, by hacking, scraping, spamming, or creating multiple accounts to get around a suspension.

4.10 Offer, suggest, ask for or provide any sexual service or sexual contact, under any name or description. This is strictly prohibited for every service type, including massage. It leads to immediate removal from TushPlug and may be reported to the authorities.

4.11 Offer a service you are not trained or qualified to provide safely.

5. Communication

5.1 Be polite and professional in every message.

5.2 Write in plain English, or in the client's preferred language if you both understand it.

5.3 Do not send offensive, sexual, hateful or threatening content.

5.4 Use TushPlug in-app messaging for booking matters. This helps us support you if there is a dispute.

5.5 Do not use client contact details to send marketing or messages unrelated to their booking.

6. Service standards, hygiene and safety

6.1 These standards apply to every type of service you offer on TushPlug. Your services must match your listings in quality, duration and price.

6.2 Keep your premises, tools, equipment, linens and any items used on clients clean. Clean and sterilise tools between clients. Use single-use items where appropriate, and throw them away after use.

6.3 Use only safe, genuine products that are legal in Nigeria. Store them properly and do not use expired products.

6.4 Do patch or allergy tests where relevant, for example before hair dyes, chemical treatments, lash or brow tinting, or massage oils and products. Ask clients about allergies and health conditions when this matters for the service.

6.5 Protect the health and safety of your clients and staff.

6.6 Anyone who works under your studio is your responsibility. You must make sure they follow these terms. You are responsible for what they do.

6.7 You and your staff must have the training, skills and any licence or qualification needed for each service you list.

6.8 Massage and body treatments. If you offer massage or other hands-on body treatments, you must also: • Hygiene: use clean linens and towels for every client, wash or sanitise your hands before and after each treatment, and keep tables, mats and oils clean; • Draping and modesty: keep the client properly covered at all times except the area being treated, and give the client privacy to undress and dress; • Consent: explain the treatment before you start, get the client's clear agreement, ask before treating sensitive areas, and stop at once if the client asks you to; • Appropriate contact: never touch the genitals, breasts or other intimate areas, and keep all contact strictly professional and limited to the agreed treatment; • No sexual services: sexual services of any kind are strictly prohibited (see section 4.10); • Health checks: ask about injuries, pregnancy and health conditions before treatment, and do not treat when it may be unsafe.

6.9 Home and mobile services. If you provide services at a client's home or another location, behave professionally, respect the client's property and privacy, and bring clean equipment.

7. Payments, fees, payouts, refunds, cancellations and disputes

Plans and fees

7.1 You choose a plan. Current plans are:

| Plan | Monthly price | Service fee per booking | Can accept cash? | |---|---|---|---| | Starter | Free | 15% | No | | Pro | ₦10,000 / month | 10% | Yes | | Business | ₦15,000 / month | 10% | Yes [TO CONFIRM: whether Business plan can also accept cash] |

7.2 All amounts are in Nigerian Naira (₦).

7.3 TushPlug sets plan prices and fees. We may change them. We will give you notice before a change takes effect (see section 14).

7.4 How the service fee works. Our service fee is a percentage of the full booking amount. This applies however the client pays (online, deposit, cash, or a mix). For example, if you charge ₦100,000 for a booking: • on Starter, TushPlug keeps ₦15,000 (15%) and you get ₦85,000; • on Pro or Business, TushPlug keeps ₦10,000 (10%) and you get ₦90,000.

[TO CONFIRM: who bears Paystack's processing fee on client payments – TushPlug out of its fee, or the provider.]

7.5 VAT. VAT is included in TushPlug's service fee. We do not add VAT on top of it. [TO CONFIRM: whether VAT is also included in the monthly plan prices.]

7.6 Plan payments. You pay for a paid plan by bank transfer or any other payment method we support that you choose. [TO CONFIRM: what happens if a plan payment fails or is late, e.g. you are moved back to Starter.]

How clients pay

7.7 Clients pay TushPlug no fees. They pay only your price.

7.8 How a client pays depends on your plan and your choices: • Starter: the client pays the full amount online through the Platform. Payments are processed by Paystack. • Pro (and Business): you may also accept cash paid directly to you, as well as online payment through the Platform. • Deposits: on any plan, you may require a deposit, paid online through the Platform, so clients are serious. [TO CONFIRM: how a deposit works for Starter providers, where the full amount is already paid online.]

7.9 The client sees how they will pay, including any deposit, before they book.

7.10 By using TushPlug you also agree to follow Paystack's rules that apply to you.

Cash payments

7.11 Cash payments happen outside Paystack and outside TushPlug. You are fully responsible for cash you take, including giving the right change, any receipt, and any refund owed in cash.

7.12 TushPlug's service fee is still due on every booking made through the Platform, including the part the client paid in cash. [TO CONFIRM: how TushPlug collects its fee on cash bookings, e.g. deducted from your wallet or invoiced.]

Completion and your wallet

7.13 A booking is completed only when both you and the client confirm in the Platform that the service was done. [TO CONFIRM: what happens if the client does not confirm within X hours, e.g. auto-confirm.]

7.14 When a booking is completed and confirmed by both of you, your earnings from money the client paid through the Platform (minus our service fee) go into your TushPlug wallet.

Payouts

7.15 You choose your weekly payout option in your studio settings. Available wallet funds are paid to the bank account you add to your studio. [TO CONFIRM: whether weekly payouts carry any fee.]

7.16 You can also cash out your available wallet funds at any time. Each cash-out has a small fee equal to Paystack's transaction/transfer fee.

7.17 Make sure your payout bank details are correct. We are not responsible for losses caused by wrong details you give us.

7.18 We may hold wallet funds or a payout while a dispute, chargeback or suspected fraud is being checked.

7.19 We may deduct from your wallet or payouts any amount you owe TushPlug, such as refunds, chargebacks, unpaid fees or fees on cash bookings.

Cancellations

7.20 You may set your own cancellation policy, including your own late-cancellation fee. There is no platform-wide maximum. Your policy is shown to clients, and they accept it, before they book. It must be fair, clear and lawful.

7.21 You must follow your own cancellation policy.

7.22 Free cancellation. If a client cancels within your free-cancellation window, the client gets all their money back. You bear any cost of that cancellation. [TO CONFIRM: whether TushPlug keeps or refunds its service fee when a booking is cancelled and refunded.]

When you cancel or don't show up

7.23 If you cancel a confirmed booking or do not show up, the client gets a full refund. You bear the cost. [TO CONFIRM: any penalty or fee for provider cancellations and no-shows.]

7.24 Repeated cancellations or no-shows may lead to lower visibility, suspension or termination.

Refunds

7.25 Refunds of money paid through the Platform are handled through the Platform. Do not ask clients to settle these refunds outside TushPlug.

7.26 TushPlug processes refunds within up to 72 hours. When the money reaches the client also depends on Paystack and the client's bank.

7.27 [TO CONFIRM: how refunds of cash the client paid directly to you are handled.]

Disputes with clients

7.28 Clients must report a problem within 24 hours of the appointment or incident. If a client complains, try to solve it fairly and quickly with them first, through in-app messaging.

7.29 If you cannot agree, either of you can ask TushPlug to help. We will act as mediator. We will look at the booking details, messages, photos and other information.

7.30 After review, TushPlug may decide on a full refund, a partial refund or no refund. You agree to co-operate with this process and accept our decision on payments made through the Platform. This does not stop you or the client from using your legal rights.

Chargebacks

7.31 If a client disputes a payment with their bank or card provider (a chargeback), we may ask you for evidence. If the chargeback succeeds, the amount may be deducted from your wallet or payouts.

Taxes

7.32 You are responsible for your own taxes, including income tax and any VAT on your services, and for any business registration you need.

8. Reviews and ratings

8.1 Clients can rate and review their bookings. Reviews help clients choose and help good studios grow.

8.2 Reviews must be honest. Do not post, buy or arrange fake reviews (see section 4.6).

8.3 Do not pressure, threaten or bribe clients about their reviews.

8.4 You may reply to reviews. Keep replies polite and do not share a client's private information.

8.5 We may remove reviews that break our rules, for example ones that are fake, abusive, or unrelated to the service. We do not remove honest reviews just because they are negative.

8.6 Your ratings may affect how your studio appears in search results.

9. Suspension and termination

Why we may act

9.1 We may suspend or close your studio or account if: • you break these terms; • clients make serious or repeated complaints; • you have many cancellations or no-shows; • we suspect fraud, impersonation, or illegal or unsafe activity; • the law or a regulator requires us to; or • your conduct puts clients, staff or TushPlug at risk.

Warning or immediate action

9.2 For minor issues, we will usually warn you first and give you a chance to fix the problem.

9.3 For serious issues, we may act immediately without a warning. Examples are discrimination, harassment, sexual misconduct or sexual services, threats, violence, fraud, impersonation, unsafe services or illegal activity.

Appeals

9.4 If you think we got it wrong, email us at Support@tushplug.com within 14 days. Tell us why. We will review and reply within [TO CONFIRM: appeal reply time, e.g. 7 days].

Effect on bookings and payouts

9.5 If we suspend or close your studio: • your studio is hidden and cannot take new bookings; • we may cancel upcoming bookings and refund clients; and • we will pay you for services you completed properly, minus fees, refunds, chargebacks and other amounts you owe. We may hold wallet funds and payouts while we investigate.

Closing your own account

9.6 You can ask to delete your account at any time. Deletion happens in stages: 1. You request deletion. Your studio is hidden and stops taking new bookings. 2. Upcoming bookings must be completed or cancelled, and all money, including your wallet balance and any fees you owe, must be settled. 3. Then we delete your account and studio.

9.7 After final deletion, your data cannot be restored. Your email can later register again, but only as a brand-new, empty account. We may keep some records where the law requires it. See our Privacy Policy.

9.8 Sections that by their nature should last after termination will continue. These include sections 7 (amounts owed), 10, 11, 12 and 13.

10. Liability

You are independent

10.1 You run your own independent business. You are not an employee, agent, worker or partner of TushPlug.

10.2 You decide how you work, your prices, your hours and your staff, within these terms.

TushPlug is a marketplace

10.3 TushPlug provides the Platform that connects you and clients. We are not a party to the service agreement between you and your client. We do not provide the services listed on the Platform, whatever their type.

Your responsibility

10.4 You are fully responsible for your services and for your staff. This applies to every type of service you offer. It includes any injury, allergic reaction, harm, damage, loss or complaint caused by your services, products, premises or staff.

Indemnity

10.5 You agree to cover TushPlug's losses, costs (including reasonable legal costs) and claims made against TushPlug by others, where they come from: • your services or your staff's services; • your breach of these terms; or • your breach of the law or of anyone's rights.

Limits on our liability

10.6 We provide the Platform "as is". We try to keep it running well, but we do not promise it will always be available or error-free.

10.7 TushPlug is not liable for indirect or consequential loss, such as lost profit, lost business or lost reputation.

10.8 Our total liability to you for any claim is limited to the fees you paid to TushPlug in the 3 months before the claim.

10.9 Nothing in these terms limits liability that cannot be limited under Nigerian law, such as liability for fraud.

Insurance

10.10 We strongly recommend you have business insurance that suits the services you offer, such as public liability and professional indemnity insurance, including cover for hands-on treatments like massage.

11. Intellectual property and content licence

11.1 You keep ownership of the photos, videos, text and other content you upload ("your content").

11.2 You confirm you own your content or have permission to use it, including permission from anyone shown in photos.

11.3 You give TushPlug a free, non-exclusive, worldwide licence to use, copy, display, resize and adapt your content to run the Platform and to promote your studio and TushPlug. This includes our website, app, social media and adverts. This licence ends when your content is removed or your account is deleted, except for materials already published or in use.

11.4 The TushPlug name, logo, app, website and software belong to TushPlug. You may not use them without our permission, except to tell people they can book you on TushPlug.

11.5 We may remove content that breaks these terms or the law.

12. Data and privacy

12.1 We handle personal data in line with the Nigeria Data Protection Act 2023 and our Privacy Policy.

12.2 You will receive some client personal data, such as names, phone numbers, addresses and booking notes. Use it only to deliver and manage that booking.

12.3 Do not sell, share or use client data for marketing, or for any other purpose, unless the client has clearly agreed.

12.4 Keep client data safe and confidential. Delete it when you no longer need it for the booking or by law.

12.5 Health information, such as allergies, is sensitive. Handle it with extra care.

12.6 Tell us immediately at Support@tushplug.com if you think client data has been lost, stolen or misused.

12.7 You must also follow the Nigeria Data Protection Act 2023 yourself when you handle client data.

13. Governing law and disputes

13.1 These terms are governed by the laws of the Federal Republic of Nigeria.

13.2 If there is a dispute between you and TushPlug, we will both first try to solve it through good-faith talks. Either side can start this by writing to the other.

13.3 If it is not solved within 30 days [TO CONFIRM: period], either side may refer it to mediation, and then to arbitration, under the Arbitration and Mediation Act 2023. The seat will be Lagos [TO CONFIRM: seat, institution and number of arbitrators].

13.4 Subject to 13.3, the courts of Lagos State have jurisdiction. Either side may also go to court for urgent relief. [TO CONFIRM: final dispute-resolution route with lawyer]

14. Changes to these terms

14.1 We may update these terms from time to time, for example when the law changes or we add features.

14.2 For material changes, including fee or plan price changes, we will tell you in the app and/or by email at least 14 days before they take effect.

14.3 Each version has a version number and date.

14.4 When a new version is published, we may ask you to accept it again. You may not be able to use parts of the Platform until you do.

14.5 If you do not agree with a change, you can stop using TushPlug and ask to delete your account (see section 9.6).
